Board retreat agenda template (sample 1-day and 2-day agendas)

Sample board retreat agendas for company boards: strategy time instead of a regular meeting, the pre-read pack directors need and a format for executive sessions.

A board retreat agenda gives directors and the executive team protected time for strategy, risk and the long-term questions a regular board meeting never reaches. Unlike a board meeting, a retreat is mostly discussion, with formal votes kept to a minimum or held at a short business session. Below is a free board retreat agenda template for company boards, in 1-day and 2-day versions, plus the board pre-read pack and topic ideas.

Designed for a board of five to twelve directors plus the CEO and selected executives. The CEO and board chair should agree the agenda together.

How to use this board retreat agenda

  1. Agree two or three strategic topics with the chair, then build the agenda around them. Housekeeping belongs in a regular meeting.
  2. Pick the 1-day version for a focused session near headquarters and the 2-day version when the board travels or needs a site visit.
  3. Write a short memo per topic with options and a recommendation, and send the full pre-read pack a week ahead.
  4. Keep the executive session on the agenda every time, so it doesn't signal a problem when it happens.
  5. Ask counsel or the corporate secretary whether anything formal needs a vote, and keep that to a short business session.
  6. Assign a note-taker for decisions and follow-ups, and circulate them within a week.

Example: a 2-day board retreat in Miami

An illustrative 2-day retreat for a seven-director company board meeting at a waterfront hotel in Miami. Directors fly in from three cities, so day 1 starts mid-afternoon.

BlockTopicOutcome
Day 1, 16:00State of the companyBoard aligned on the two hardest problems
Day 1, 19:30Private dinner room at the hotelDirectors meet the new heads of product and sales
Day 2, morningExpansion options and capital planBoard backs a phased plan; CFO to return with numbers
Day 2, afternoonSuccession and board effectivenessLead director to run CEO feedback; one new committee charter

Common board retreat mistakes

  • Turning it into a long board meeting. Reports and approvals crowd out the strategy time the retreat exists for.
  • Too many topics. Two or three deep discussions beat eight shallow ones.
  • Late pre-reads. Directors who read materials on the plane can't challenge them.
  • Skipping the executive session. It is where directors give candid feedback; make it routine.
  • Underestimating logistics. Board members expect smooth travel, good rooms and private meeting space. Book a private room, not a shared lounge.

FAQ

What is a board retreat?

A board retreat is an extended session, usually one or two days and often away from the office, where directors and senior executives focus on strategy, risk, talent and how the board works, rather than routine approvals.

What topics should a board retreat cover?

Two or three strategic topics (such as growth options, capital plans or major market shifts), talent and succession, the top risks, board effectiveness and an executive session for directors only.

How long should a board retreat be?

One full day is common when the retreat is held near headquarters. Two days, starting in the afternoon of day 1 with a dinner, works well when directors travel or a site visit is planned.

Who sets the board retreat agenda?

The CEO and the board chair should design it together, with input from directors on the topics they most want to discuss.

Are votes taken at a board retreat?

Usually very few. Most boards keep the retreat for discussion and either hold a short formal business session or take decisions at the next regular meeting. Check with counsel on notice and minute requirements.
